Abstract: This thesis deals with issues of cooperation in industrial organization. In Chapter 1, I show that networks help enforce cooperation that could not be sustained if agents had no access to other network members' sanctioning power and information. Conditions for information transmission about past actions in the network are identified. Chapters 2 and 3 analyze the impact of agency problems on entrepreneurs’ decision to form an RJV or a merger, respectively. Chapter 2 shows that moral hazard introduces a bias towards stand-alone R&D. Chapter 3 shows that it decreases the number of mergers with high levels of possible cost reductions whereas it increases the number of those with low levels of possible cost reductions and that it increases the precision of proxies in an efficiency defence. Chapter 4 examines the effect of in-house due diligence on the formation of RJVs and the incentives to innovate. I show that owners distort the incentive contracts of their agents to exert an effort in innovative activities in order to induce them to reveal information about the best organizational form to do R&D.

Übersetzung des Abstracts: Cette thèse s'occupe des problèmes de coopération dans l'organisation industrielle. Dans le Chapitre 1, nous montrons que les réseaux aident à soutenir la coopération pour leurs membres grâce au pouvoir de punition et à l’information des autres membres du réseau. Les conditions de transmission de l'information des actions passées dans le réseau sont identifiées. Les chapitres 2 et 3 analysent l'impact des problèmes d'agence dans la décision des entrepreneurs de former soit une RJV, soit une fusion. Le chapitre 2 montre que l’aléa moral introduit une distorsion en faveur d’un investissement en R&D en “stand-alone”. Le chapitre 3 montre que l’aléa moral diminue le nombre de fusions en présence de hauts niveaux de réduction de coûts de production possibles, mais qu’il augmente leur nombre dans le cas contraire. De plus, l’aléa moral augmente la précision des « proxies » utilisées dans une « efficiency defence ». Le chapitre 4 examine l'effet de « due diligence » dans la formation de RJVs. Nous montrons que les propriétaires distordent les contrats incitatifs de leurs agents afin qu’ils exercent un effort dans les activités innovatrices et par conséquent les incitent à révéler des informations sur la meilleure forme d'organisation favorisant la R&D.
